2. Acceptance of Terms
By engaging ARTEODESIGN LTD ("we", "us", "our") for software development services, you ("client", "you", "your") agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and ARTEODESIGN LTD.
If you do not agree to these terms, please do not engage our services. We reserve the right to update these terms at any time, with notice provided to existing clients.
3. Services Provided
ARTEODESIGN LTD provides professional software development services including:

- • Cloud infrastructure setup and management

All services are provided in accordance with UK industry standards and comply with relevant UK regulations including GDPR, Data Protection Act 2018, and applicable sector-specific requirements.
4. Project Agreements and Scope
4.1 Project Definition: Each project begins with a detailed scope of work document that outlines deliverables, timelines, costs, and technical specifications. This document becomes part of the binding agreement between parties.
4.2 Change Requests: Any modifications to the agreed scope must be requested in writing and approved by both parties. Additional charges may apply for scope changes, which will be communicated and agreed upon before implementation.
4.3 Timeline Estimates: Project timelines are estimates based on the defined scope and assume timely client feedback and approval. Delays in client responses may affect project delivery dates.
4.4 Client Responsibilities: Clients are responsible for providing timely feedback, necessary access to systems, content, and any third-party services required for project completion.
5. Payment Terms
5.1 Payment Schedule: Payment terms are specified in individual project agreements. Typical payment structures include project milestones or monthly retainers for ongoing services.
5.2 Currency and VAT: All prices are quoted in British Pounds (GBP) and include VAT where applicable. VAT will be charged at the prevailing UK rate for UK-based clients.
5.3 Late Payments: Late payment charges of 1.5% per month may be applied to overdue invoices. We reserve the right to suspend work on overdue accounts.
5.4 Refunds: Refunds are available in accordance with UK consumer protection laws. Work completed cannot be refunded, but unused prepaid services may be eligible for partial refund.
6. Intellectual Property Rights
6.1 Client Ownership: Upon full payment, clients own the custom code and applications developed specifically for their project, excluding third-party components and our proprietary frameworks.
6.2 Third-Party Components: Applications may include third-party libraries, frameworks, and services that retain their original licensing terms. Clients are responsible for compliance with these licenses.
6.3 ARTEODESIGN IP: We retain ownership of our proprietary development frameworks, methodologies, and any pre-existing intellectual property used in client projects.
6.4 Portfolio Rights: We reserve the right to showcase completed projects in our portfolio and marketing materials, with client's permission and appropriate anonymisation where requested.
7. Data Protection and Privacy
7.1 GDPR Compliance: We are committed to protecting personal data in accordance with UK GDPR and the Data Protection Act 2018. Our full privacy policy is available at /privacy-policy.
7.2 Client Data: Any client data provided to us during development is handled with strict confidentiality and used solely for project delivery purposes.
7.3 Security Measures: We implement appropriate technical and organisational measures to ensure data security during development and testing phases.
7.4 Data Retention: Project-related data is retained for the duration necessary to provide services and meet legal obligations, typically 7 years for business records.
8. Warranties and Limitations
8.1 Quality Assurance: We warrant that our services will be performed with professional skill and care in accordance with UK industry standards.
8.2 Bug Fixes: We provide a 90-day warranty period for bug fixes on delivered software, covering issues that prevent the software from functioning as specified.
8.3 Third-Party Services: We do not warrant the performance of third-party services, APIs, or hosting providers, though we will assist in resolving integration issues.
8.4 Limitation of Liability: Our liability is limited to the total amount paid for services. We are not liable for indirect, consequential, or business loss damages.
9. Termination
9.1 Termination by Client: Clients may terminate services with 30 days written notice. Payment is due for all work completed up to the termination date.
9.2 Termination by ARTEODESIGN: We may terminate services with 30 days notice or immediately for non-payment, breach of terms, or illegal activity.
9.3 Data Handover: Upon termination, we will provide clients with their data and completed work in an appropriate format within 30 days.
10. Governing Law and Jurisdiction
These terms are governed by English law and subject to the exclusive jurisdiction of the English courts. Any disputes will be resolved through the UK legal system.
